Terms & Conditions of Service

By booking a session at Red Mile Records Inc. (the "Studio"), the Client (the "Artist", "You", or "Your") agrees to the following legally binding Terms and Conditions.
1. Booking and Cancellation Policy
24-Hour Strict Notice: To cancel or reschedule, you must provide written notice (via email or our booking system) at least twenty-four (24) hours prior to your scheduled start time.
No Refunds/Extensions: If notice is given less than 24 hours before the session, or in the event of a "no-show," the Client agrees that no refunds will be issued, and no time extensions or "make-up" sessions will be granted. The full booking fee is forfeited as liquidated damages to cover the Studio's lost opportunity and overhead.
Midnight Bookings: For sessions spanning across midnight, the Client is responsible for ensuring both calendar dates are booked consecutively.
2. Guest Policy & Studio Access
Guest Limit: To maintain a productive recording environment and ensure safety, the Client is permitted a maximum of three (3) guests (total of 4 people including the Artist) per session.
Prior Approval for Additional Guests: If the Client requires more than three guests, they must obtain written approval at least 24 hours in advance by:

Unauthorized Guests: The Studio reserves the right to deny entry to any unauthorized guests exceeding the two-person limit.
3. Prohibited Conduct (Zero Tolerance)
Red Mile Records maintains a safe, professional environment. The following are strictly prohibited on Studio premises (including parking areas and common zones):
Illegal Substances & Alcohol: The use, possession, or sale of illegal drugs or unauthorized controlled substances is strictly prohibited. While cannabis is legal in Alberta, consumption is not permitted inside the facility.
Smoking & Vaping: In compliance with the City of Calgary Smoking and Vaping Bylaw, smoking and vaping (tobacco, cannabis, or any other substance) are strictly prohibited inside the building and within 5 meters of any entrance.
Weapons: In accordance with the Criminal Code of Canada and Calgary’s Public Behaviour Bylaw, the possession or display of any weapon (including but not limited to firearms, knives, or imitation weapons) is strictly prohibited.
Violent/Threatening Behavior: Any physical or verbal aggression, harassment, or threats toward Studio staff or other clients will result in the immediate termination of the session without refund and a permanent ban from the facility.
4. Liability and Damages
Equipment Responsibility: The Client assumes full financial liability for any damage to Studio property (microphones, consoles, instruments, etc.) caused by the Client or their guests, beyond normal wear and tear. Repairs or replacements will be billed at the current market rate plus a 15% administrative fee.
Personal Property: The Studio is not responsible for the loss or damage of any personal equipment or belongings brought into the facility.
Indemnification: The Client agrees to indemnify and hold harmless Red Mile Records Inc., and its owners from any claims, damages, or legal expenses arising from the Client’s activities on the premises.
5. Intellectual Property & File Storage
Ownership: Upon full payment of all fees, the Client retains 100% ownership of the master recordings created during the session.
Data Loss: While the Studio may provide temporary backups, the Client is solely responsible for taking their session files (multitracks) on an external drive at the end of the session. Red Mile Records is not liable for data loss or corruption once the session has concluded.
Work-for-Hire vs. Joint Authorship: While the Client generally retains ownership of the master recordings upon full payment, the following applies to underlying musical compositions:
Creative Contributions: In the event that a songwriter, producer, or creator affiliated with Red Mile Records Inc. contributes original creative input (including but not limited to melodies, lyrics, arrangements, or beats) that results in the creation of copyrightable musical material, the Client acknowledges that such Red Mile Records Inc. personnel may be considered a "joint author" under the Copyright Act.
Good Faith Negotiation: Where such creative contributions occur, the Client and/or the Client’s representative agree to discuss in good faith a percentage-based ownership split.
Execution of Split Sheets: Both parties agree to execute a formal Split Sheet or Participation Agreement detailing the division of performance and mechanical rights. Such documents shall be executed in good faith and based upon the agreed-upon terms reflecting the level of creative contribution.
6. Legal Jurisdiction
This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada. Any disputes arising from this agreement shall be settled in the courts of Calgary, Alberta.
If any provision of these Terms is found to be unenforceable by an Alberta court, the remaining provisions shall remain in full force and effect.
